Aurawise Terms of Service

These Terms of Service ("Terms") govern your access and use of Aurawise, a product of LeoPenny Digital Solutions LLC ("Aurawise," "we," "us," or "our"). By accessing or using Aurawise's website, applications, or related services (collectively, the "Platform"), you agree to these Terms. If you do not agree, you may not use the Platform.

Please read these Terms carefully. They form a legally binding agreement between you and LeoPenny Digital Solutions LLC.

1. Eligibility and Account Registration

You must be at least 18 years old to create a Aurawise account. By registering, you represent and warrant that:

• All information you provide is true, accurate, and complete.
• You will maintain the confidentiality of your login credentials and accept responsibility for all activity under your account.
• Your use of the Platform complies with applicable laws.

Aurawise reserves the right to suspend or terminate your account if any information provided is false or misleading or if your use violates these Terms.

2. Platform Overview

Aurawise is a social media enhancement platform that helps businesses drive engagement and traffic to their social media pages through managed advertising campaigns ("Services"). Users connect verified social media accounts via OAuth integrations approved by Meta, X, and other platforms.

You retain ownership of your content but grant Aurawise the rights outlined in Section 9 below to operate and market the Services.

3. Subscription and Payment Terms

• Aurawise operates on a monthly subscription basis.
• All payments are non-refundable upon signature or activation, including setup, service, and advertising fees.
• Subscriptions automatically renew each month unless canceled in writing before the next billing cycle.
• Failure to pay may result in suspension or termination of access.
• Payments are processed through secure third-party providers. You authorize Aurawise and its payment partners to charge your payment method for all agreed fees.

4. No Refunds and No Guarantees

All sales are final. No refunds, credits, or cancellations will be issued after subscription activation.

Aurawise provides advertising and social media management services "as is" and does not guarantee specific results such as audience growth, engagement rates, conversions, or sales. Campaign performance varies by platform, budget, and audience behavior.

5. Acceptable Use

Users agree not to:

• Violate any laws, regulations, or third-party terms of service (including Meta, X, Instagram, or LinkedIn).
• Upload, share, or promote content that is unlawful, obscene, defamatory, harassing, or infringing on others' rights.
• Attempt to hack, decompile, reverse engineer, or misuse the Platform.
• Use automated systems (bots, scrapers, or similar tools) to access or disrupt the Platform.
• Use Aurawise's tools to promote hate, discrimination, or deceptive products/services.

Violation of these restrictions may result in account suspension or termination without refund.

6. Integration with Third-Party Platforms

To deliver campaigns, Aurawise connects with third-party APIs (e.g., Meta, Instagram, X).

• You authorize Aurawise to access and use data necessary for campaign execution under the policies of each respective platform.
• Third-party services are governed by their own terms, and Aurawise is not responsible for outages, policy changes, or restrictions imposed by those platforms.

7. Data Use and Privacy

• Aurawise collects user information to deliver its Services, including connected social account data, campaign performance metrics, and billing information.
• We use this data in accordance with our Privacy Policy.
• Your continued use of the Platform signifies acceptance of that policy.

8. Intellectual Property

Ownership

All content, code, and materials within the Platform remain the exclusive property of LeoPenny Digital Solutions LLC.

You may not copy, modify, resell, or distribute any part of the Platform without written permission.

Content License from Users

By uploading or authorizing content for campaigns, you grant Aurawise a worldwide, royalty-free, perpetual, and transferable license to use, reproduce, distribute, display, and adapt your content:

• For the purpose of delivering Services on your behalf; and
• For marketing, portfolio, training, and future sales purposes.

You represent that you own or have the right to license all such content to Aurawise.

9. Indemnification

You agree to defend, indemnify, and hold harmless LeoPenny Digital Solutions LLC, its affiliates, employees, officers, and agents from any claims, damages, losses, or liabilities arising from:

• Your use of the Platform or Services,
• Your violation of these Terms, or
• Any content you supply or authorize Aurawise to use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURAWISE AND LEOPENNY DIGITAL SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA — ARISING OUT OF YOUR USE OF THE PLATFORM OR SERVICES.

Direct damages, if any, shall not exceed the total amount you have paid to Aurawise in the three (3) months preceding the claim.

11. Termination

Aurawise may terminate or suspend access to your account immediately, without prior notice, for conduct deemed inconsistent with these Terms or detrimental to the Platform's operation.

You may cancel your account by contacting support at [insert support email]. Cancellation does not relieve you of obligations or payments already incurred.

12. Modifications to the Terms

Aurawise reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a new revision date. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed under applicable international and U.S. laws without regard to conflicts of law principles.

Any dispute arising from these Terms shall be resolved through binding arbitration conducted electronically or in a jurisdiction selected by Aurawise, unless otherwise required by law.

• The Platform and all Services are provided "as is" and "as available."
• Aurawise makes no warranties, express or implied, regarding uptime, data accuracy, or advertising performance.
• All risk arising from use remains solely with the user.
